PARTIES AND SUBJECT

This agreement determines the rights, obligations, and legal position of the parties, in accordance with the Turkish Consumer Protection Law and the Regulation on the Principles and Procedures for Distance Contracts, regarding a purchase made through www.verinetyazilim.com (hereinafter the WEBSITE) between the person purchasing a product (hereinafter the PRODUCT/PRODUCTS) (hereinafter the BUYER) and the seller company VERYNET (hereinafter the SELLER), located in Izmir (Tel: +44 7305 320 781; email: [email protected]), together with the order form completed electronically by the BUYER, which specifies the characteristics, quality and quantity, sale price, payment terms and conditions, and sale date of the PRODUCT. Prices and offers advertised remain valid until updated or changed. Prices advertised for a limited time remain valid until the end of the specified period.

ARTICLE 1. RIGHT OF WITHDRAWAL

The SELLER makes the following undertaking to the BUYER (Consumer): "We undertake that the consumer has the right to withdraw from the agreement, without incurring any legal or criminal liability and without providing any justification, by rejecting the goods or service within 90 days from the date the goods were delivered or the agreement was signed, and that we will take the goods back from the date the withdrawal notice reaches the seller or provider."

To exercise the right of withdrawal, written notice must be given to the SELLER within this period. If this right is exercised, a copy of the shipping delivery record confirming that the PRODUCT delivered to a third party or to the BUYER has been sent to the SELLER, along with a return invoice, is required. The PRODUCT price is refunded to the BUYER within 10 (ten) days of these documents being received. For credit card payments, the refund is also made back to the BUYER's credit card. If a return invoice is not sent, VAT and any other applicable legal charges cannot be refunded, in accordance with tax legislation. The shipping cost of the returned product is borne by the BUYER.

The BUYER cannot exercise the right of withdrawal in the case of a PRODUCT that was manufactured according to the BUYER's specific requests, or that has been customized through modification or addition, or that by its nature cannot be returned, or that is liable to deteriorate quickly or whose expiry date may pass, and generally when the PRODUCT has been used, or when cosmetic and similar PRODUCTS have been removed from their packaging even if unused.

ARTICLE 2. GENERAL PROVISIONS

2.1.The BUYER acknowledges having read and understood the pre-information relating to the basic characteristics, sale price, payment method, and delivery of the products shown on the WEBSITE, and confirms this electronically as required for the sale.

2.2.The PRODUCT is delivered, packaged and intact, together with its invoice, to the delivery address specified by the BUYER on the WEBSITE within 10 days at the latest; this period may be extended in cases of necessity.

2.3.If the PRODUCT is to be delivered to a person/organization other than the BUYER, the SELLER cannot be held responsible if that person/organization refuses to accept delivery.

2.4.The BUYER is responsible for inspecting the PRODUCT at the moment of delivery and, if a problem caused by shipping is found, for refusing to accept the PRODUCT and having a report drawn up with the shipping company's representative. Otherwise, the SELLER will not accept liability.

2.5.If requested by the SELLER at the time of delivery, the BUYER is obligated to sign a printed copy of this Agreement; if not signed, delivery of the PRODUCT may not take place. In any case, the Agreement approved by the BUYER during the purchase on the WEBSITE is sufficient and valid.

2.6.Unless otherwise agreed in writing by the SELLER, the BUYER must pay the full price before accepting delivery of the PRODUCT. If the price of the PRODUCT is not paid to the SELLER before delivery, the SELLER may unilaterally cancel the agreement and may not deliver the PRODUCT.

2.7.If, for any reason after delivery of the PRODUCT, the bank/financial institution that issued the credit card used for the transaction fails to pay the SELLER for the PRODUCT, the BUYER must return the PRODUCT to the SELLER within 3 days at the latest, with all costs borne by the BUYER. The SELLER's other contractual and legal rights, including the right to pursue payment of the PRODUCT price, remain reserved in every respect. For the avoidance of doubt: deferred/installment payment options provided by banks and financing institutions that issue credit cards, installment cards, and similar instruments constitute a loan and/or an installment payment facility provided directly by that institution; PRODUCT sales made on this basis, where the SELLER has received full payment, are not considered installment sales between the parties to this Agreement and are treated as cash sales. The SELLER's legal rights in cases legally considered installment sales — including the right to terminate the agreement and/or demand payment of the entire remaining debt together with default interest if any installment is not paid — remain in effect and reserved. In the event of the BUYER's default, default interest of 5% per month is applied.

2.8.If the PRODUCT cannot be delivered within the 10-day period due to extraordinary circumstances beyond normal sale conditions (such as severe weather, earthquake, flood, or fire) and the delay exceeds 5 days, the SELLER will inform the BUYER about the delivery. In this case, the BUYER may cancel the order, order a similar product, or wait until the extraordinary circumstance ends. If the order is cancelled and the PRODUCT price has been collected, it is refunded to the BUYER within 10 days of the cancellation. For credit card payments, the refund is also made back to the BUYER's credit card.

2.9.The BUYER may notify the SELLER of any requests or complaints regarding the PRODUCT and the sale through the SELLER's contact channels listed in the introductory section of this Agreement.

ARTICLE 3. EVIDENCE AGREEMENT AND COMPETENT COURT

In resolving any dispute that may arise from and/or in connection with this Agreement, the SELLER's records (including magnetic media records such as computer and voice recordings) constitute conclusive evidence. Consumer Arbitration Committees have jurisdiction up to the value announced by the Ministry of Science, Industry and Technology, and Consumer Courts and Enforcement Offices in the place of residence of the BUYER or the SELLER have jurisdiction above that value.

The BUYER declares, accepts, and undertakes that they have read all the terms and explanations set out in this Agreement and in the order form that forms an integral part of it, and that they have received, reviewed, and accepted the terms of sale and all other pre-contractual information in full.
